Dehe TALK Episode 19 Held: Focusing on New Outbound Investment Rules and ODI Practice
“Dehe TALK” is a key programme under the 20th Anniversary series of Dehehantong Law Offices. It is designed to facilitate in-depth discussions on cutting-edge theoretical and practical issues through thematic sharing and lawyer dialogues.
On 4 November 2026, Episode 19 of “Dehe TALK” — New Outbound Investment Rules Interpretation & Practical Sharing on Challenging ODI Projects — was held as part of the Firm’s 20th Anniversary series. The event was hosted by the Shanghai Private Equity and M&A Committee of Dehehantong Law Firm. Centered on the new outbound investment regulatory rules, ODI filing procedures and solutions for challenging projects, the session aimed to help lawyers grasp regulatory updates and practical compliance requirements, and deliver professional references for enterprises’ outbound investment compliance. Hosted by Lawyer Wang Hongfei from the Firm’s Shanghai Office, the event featured Ms. Xu Ming, Partner Assistant and Business & Tax Advisory Specialist at TC GROUP, as the keynote speaker.
Drawing on the Provisions of the State Council on Outbound Investment and the NDRC’s Measures for the Administration of Outbound Investment, Ms. Xu Ming outlined key updates covering eligible investors, overseas re-investment and full-lifecycle regulation. She walked through the end-to-end ODI project workflow, spanning preliminary preparation, government filing, foreign exchange registration and post-investment maintenance. Addressing practical pain points including domestic SPVs, large-scale non-core business investment, sensitive countries and regions, technology export and sequencing of overseas company incorporation, she analysed regulatory review priorities such as investment authenticity, financial capacity, commercial rationality and supporting documentation with typical case studies. She reminded enterprises to distinguish between formal statutory provisions and local window guidance, and to optimise investment structures and filing plans in advance on a project-specific basis.
The session was followed by an interactive Q&A segment. Participating lawyers actively raised questions based on their ongoing matters and exchanged insights with Ms. Xu Ming, which deepened their understanding of relevant practical compliance points.
Combining policy interpretation with case analysis, this event helped attending lawyers strengthen their command of the new outbound investment rules and ODI project practices. It also offered valuable insights for cross-disciplinary collaboration among private equity, M&A, tax and cross-border legal service teams. Going forward, Dehehantong Law Offices will continue to organise professional exchanges focusing on corporate global expansion and cross-border investment, keep track of evolving regulatory policies and practical enforcement positions, and continuously upgrade its comprehensive legal service capabilities to deliver targeted professional support for enterprises to conduct outbound investment in a robust and compliant manner.
